Role & Responsibilities
- Draft, review, and independently negotiate a wide variety of commercial agreements including vendor agreements, master service agreements, product agreements, NDAs, licensing agreements, and marketing agreements
- Advise on contract interpretation, risk allocation, and negotiation strategy for internal business teams
- Support lease negotiations and construction projects related to retail network development and future expansion
- Review intellectual property usage, trademark application, promotional materials, and licensing agreements for marketing initiatives
- Ensure ongoing corporate compliance with statutory and regulatory requirements and monitor legal developments
- Develop and refine corporate governance policies and procedures; review board materials, corporate records, and minute books
- Support compliance programs including privacy, data security, anti-bribery, competition law, and workplace policies
- Identify legal risks and provide pragmatic solutions that balance risk mitigation with business objectives
- Manage litigation matters and regulatory inquiries, working with external counsel as required
- Support privacy-related matters, data breaches, and investigations in collaboration with the Chief Privacy Officer
- Conduct internal training on legal and compliance topics as needed
- Mentor junior associates and lead project teams across the organization
Qualifications
- Juris Doctor (JD) or Bachelor of Laws (LLB) from an accredited law school
- Member in good standing with the Ontario bar
- Minimum 8 years of post-call experience gained at a large national law firm and/or comparable in-house setting
- Strong background in corporate and commercial law, contract review and negotiation, and corporate governance
- Experience with intellectual property, employment law, real estate, and privacy matters
- Demonstrated leadership and influencing skills at all organizational levels
- Excellent written and verbal communication abilities
- Exceptional organizational and follow-up skills with a service-oriented mindset
- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook)

Experience
A minimum of 8 years of post-call legal experience, ideally gained at a large national law firm or comparable in-house setting, or a combination of both. Strong track record of drafting, reviewing, and negotiating complex commercial agreements. Demonstrated experience advising business leaders on corporate strategy, governance, and compliance matters.
Education
Juris Doctor (JD) or Bachelor of Laws (LLB) from an accredited law school. Membership in good standing with the Ontario bar is required.

Compensation
The base compensation for this position ranges from CAD 181,000 to CAD 200,000 per annum.
